Grapevine PR LLC gathers user information in the following processes: Optional voluntary information We offer the following free services, which require some type of voluntary submission of personal information by users:

Electronic newsletters policy (Dispatches): We will offer a free electronic newsletter to users. Grapevine PR LLC gathers the email addresses of users who voluntarily subscribe. Users may remove themselves from this mailing list by following the link provided in every newsletter that points users to the subscription management page. Users can also subscribe to newsletters at the time of registration.

Polling: We may offer interactive polls to users so they can easily share their opinions with other users and see what our audience thinks about important issues. Opinions or other responses to polls are aggregated and are not identifiable to any particular user. Grapevine PR LLC may use a system to “tag” users after they have voted, so they can vote only once on a particular question. This tag is not correlated with information about individual users.

Surveys: Grapevine PR LLC may occasionally conduct user surveys to better target our content to our audience. We sometimes share the aggregated demographic information in these surveys with our sponsors, advertisers and partners. We never share any of this information about specific individuals with any third party. Consistent with the Federal Children’s Online Privacy Protection Act of 1998.

(COPPA), we will never knowingly request personally identifiable information from anyone under the age of 13 without requesting parental consent.

Traffic Patterns: Grapevine PR LLC tracks user traffic patterns throughout all of our sites. However, we do not correlate this information with data about individual users. Grapevine PR LLC does break down overall usage statistics according to a user’s domain name, browser type, and MIME type by reading this information from the browser string (information contained in every user’s browser).

Grapevine PR LLC sometimes tracks and catalogs the search terms that users enter in our Search function, but this tracking is never associated with individual users. We use tracking information to determine which areas of our sites users like and don’t like based on traffic to those areas. We do not track what individual users read, but rather how well each page performs overall. This helps us continue to build a better service for you.

Cookies: We may place a text file called a “cookie” in the browser files of your computer. The cookie itself does not contain personal information although it will enable us to relate your use of this site to information that you have specifically and knowingly provided. But the only personal information a cookie can contain is information you supply yourself. A cookie can’t read data off your hard disk or read cookie files created by other sites. Grapevine PR LLC uses cookies to track user traffic patterns (as described above).

Our advertising system delivers a one-time cookie to better track ad impressions and click rates. You can refuse cookies by turning them off in your browser. If you’ve set your browser to warn you before accepting cookies, you will receive the warning message with each cookie. You do not need to have cookies turned on to use this site. However, you do need cookies to participate actively in polling and surveys.

We take all precautions possible to protect your sensitive information. Your information is encrypted and transmitted to us securely. This can be verified by observing the padlock icon to the left of our website address in the address bar.

 

 

USE OF INFORMATION

Grapevine PR LLC uses any information voluntarily given by our users to enhance their experience in our network of sites, whether to provide interactive or personalized elements on the sites or to better prepare future content based on the interests of our users.

As stated above, we use information that users voluntarily provide in order to send out electronic newsletters and to enable users to participate in polls, surveys, and more. We send out newsletters to subscribers on a regular schedule (depending on the newsletter), and occasionally send out special editions when we think subscribers might be particularly interested in something we are doing.

Grapevine PR LLC never shares newsletter mailing lists with any third parties, including advertisers, sponsors or partners. When we use tracking information to determine which areas of our sites users like and don’t like based on traffic to those areas.

We do not track what individual users read, but rather how well each page performs overall. This helps us continue to build a better service for you. We track search terms entered in Search function as one of many measures of what interests our users. But we don’t track which terms a particular user enters. Grapevine PR LLC creates aggregate reports on user demographics and traffic patterns for advertisers, sponsors and partners. This allows our advertisers to advertise more effectively, and allows our users to receive advertisements that are pertinent to their needs. Because we don’t track the usage patterns of individual users, an advertiser or sponsor will never know that a specific user clicked their ad. We will not disclose any information about any individual user except to comply with applicable law or valid legal process or to protect the personal safety of our users or the public.

SHARING OF THE INFORMATION

Grapevine PR LLC uses the above-described information to tailor our content to suit your needs and help our advertisers better understand our audience’s demographics. We will not share information about individual users with any third party, except to comply with applicable law or valid legal processes or to protect the personal safety of our users or the public.

 

 

SECURITY

Grapevine PR LLC operates secure data networks protected by industry standard firewall and password protection systems. Our security and privacy policies are periodically reviewed and enhanced as necessary and only authorized individuals have access to the information provided by our customers.

OPT-OUT POLICY Unless you ask us to not do so, we may contact you via email to share information with you about new services or products, or adjustments to our privacy policy.

TERMS OF SERVICE
 

I. DISPUTED PAYMENTS

 

You acknowledge liability for payments made in accordance with the terms of service. You agree that any dispute regarding your Agreement, and any claim made by you for return of monies paid shall be handled in accordance with applicable laws of the State of Texas.

 

Specifically, if you seek to cancel credit card payments (or file a chargeback) or ACH payments for any Fees, your Agreement is immediately and automatically terminated (including, without limitation, the license granted to you under Section III Terms of Service), and GRAPEVINE reserves the right to dispute such cancellation and pursue you for monies owed for Services already performed but unpaid. You agree that, regardless of whether you are ultimately successful in any credit card cancellation dispute, you are liable to pay GRAPEVINE for the work already performed as of the time of the cancellation request, at an hourly rate of $350 per hour for all hours spent on your account. This provision shall survive any cancellation or termination of your Agreement.

 

II. CANCELLATIONS & REFUNDS

 

ALL SALES ARE FINAL. Once a contract is executed, all monies are due as agreed and will not be refunded for “buyer’s remorse” or any other reason. Refusing service will not result in a refund or credit. If you need to cancel or postpone service for any reason, you must make the request in writing to accounting@theprgrapevine.com. Refunds will not be provided unless stated in our terms and at GRAPEVINE’s sole discretion. Refund requests may take up to 14 business days to review by GRAPEVINE PR. If you dispute the payment before GRAPEVINE makes a decision, you forfeit any rights to a refund and will be contractually obligated to make a repayment in full for any disputed payments.

 

III. OWNERSHIP & USAGE

 

GRAPEVINE will provide CLIENT with press clippings as they become available. GRAPEVINE will also maintain a library of all article clips generated for CLIENT. 

 

During your Agreement, you hereby grant us and our affiliates a non-exclusive, royalty free, worldwide, sub-licensable license to use, duplicate, distribute, broadcast, perform, transmit, and display Your Materials, as defined below, (including, without limitation, any and all copyright, trademark, service marks, trade dress, and name, image, and likeness rights contained therein, the “IP Rights”), without limitations, in any tangible medium now known or later developed (as examples, and in no way limiting, including electronic and print format, website, new media, media, television, radio, and publications). In addition, in furtherance of us providing your Services under your Agreement, you also grant us the same rights, under the aforementioned license, to license Your Material (including, without limitation, the IP Rights) to third parties by any means whatsoever. Furthermore, during your Agreement, and after its termination, you also grant us a perpetual, non-revocable, non-exclusive, royalty-free, worldwide license to use Your Material in our internal and external portfolios, case studies, and any of our marketing and advertising campaigns.

 

You also grant GRAPEVINE full rights to use your images, photos, and branding in efforts to provide your Services.

 

We hereby grant you a limited, non-exclusive, worldwide, non-transferable, royalty-free license to use, modify, reproduce, distribute, and display Our Materials in electronic and print format. This is a grant of a license, not a transfer of title. This license shall automatically terminate, without any further action, upon your breach of this Service Agreement or the Terms of Service, or as otherwise provided under the terms of this Service Agreement. Upon termination of this license, you must immediately destroy or return any of Our Materials in your possession whether in electronic or printed format.

 

For purposes of your Agreement, the term “Our Materials” means the results and deliverables of the Services rendered by us to you under your Agreement including, without limitation, all documents, articles, media, files, videos, photography, clips, literary materials, ideas, and other intellectual property created in connection with your Services. For purposes of your Agreement, the term “Your Materials” means, without limitation, all documents, videos, photos, recordings, clips, data, information, biographies, press material, and any other material whatsoever that you deliver to us in connection with your Agreement, or are delivered to us at your direction, or on your behalf, in connection with your Agreement.

 

You represent and warrant that: (i) you are the sole owner of the copyright in and to, or otherwise have all necessary rights in and to, Your Materials and the IP Rights delivered to us hereunder; (ii) you possess the full power and authority to enter into your Agreement and perform your obligations hereunder and to grant these licenses to us as provided hereunder; (iii) the execution, delivery and performance of your Agreement by you does not violate any agreement, license, instrument, judgment, order or award of any court or arbitrator or any law, rule, or regulation under which you are bound or subject; (iv) the exercise by us of the rights granted herein will not result in defamation or violate or infringe upon the rights of any person, firm or entity, including but not limited to copyright, trademark, contract, privacy or publicity rights; and (v) you own and/or have legal right to use all elements contained within Your Materials, including, but not limited, to all music, sound, video, audio, visual, and pictorial therein.

 

PHOTO RELEASE:
You hereby grant, and authorize the right for, us to take, edit, alter, copy, exhibit, publish, distribute and make use of any and all IP Rights, and pictures or video taken by or provided to us by you (or any person acting on your behalf or at your direction) including, but not limited to, newsletters, flyers, posters, brochures, advertisements, fundraising letters, annual reports, press kits and submissions to journalists, websites, social networking sites, and other print and digital communications, without payment or any other consideration. This authorization extends to all languages, media, formats, and markets now known or hereafter devised. This authorization shall continue indefinitely.

 

IV. DEFINITIONS & GUARANTEE

 

The GRAPEVINE Guarantee:

Depending on the Package, the applicable promises may include the following. All services must be expressly written into your package. If the listed item is not shown in your package, it is not included.

 

– Pitching and Story Creation: GRAPEVINE may, from time to time, pitch to the media and create stories or releases on your behalf to garner public attention.

– PR Team: The PR Team may include one or more PR professionals assigned to a client’s account.

– PR Strategy: A PR strategy is a written or verbal plan that may be followed to represent the client in the media. Plans may be changed or updated by GRAPEVINE in its sole and absolute discretion.

– Market Research: Market research blends consumer behavior and economic trends for the purpose of confirming and improving your business idea and plan. From time to time, GRAPEVINE may use market research when creating press releases and pitches.

– Writing Team: GRAPEVINE has a team of writers that may work on the back end of your account to help you achieve desired results. You may or may not have direct contact with the writing team.

– Ghostwriting: GRAPEVINE may complete writing on the client’s behalf. Clients must request work. Services are limited to contributorship articles, blogs, and guest articles.

– Industry Media Monitoring: GRAPEVINE may track topics across print, online, broadcast, and other media on your behalf.

– Pitching: Depending on your selected package, GRAPEVINE may reach out to contributors, editors, journalists, and broadcasters on your behalf to attempt to earn you digital, television, contributor, podcast, radio, and print opportunities.

– Crisis Management Strategy: GRAPEVINE may, from time to time, provide advice or consult on crisis situations or the potential of a crisis situation. Full-service crisis management and planning may be provided at an added cost.

– Online Reputation Management: We may monitor your sentiment in the media and act to improve it through media placements, suppression, and other widely accepted techniques.

 

CONTENT ASSET DEFINITION

A Content Asset is defined as any content created by GRAPEVINE for CLIENT such as but not limited to a blog post, article, newsletter, public statement, client profile, client success story or other tangible written asset for use by the client.

 

GUARANTEED PLACEMENT DEFINITION:

A Guaranteed Placement may include a Publication, Audio or Other Media such as, by example, but not limited to, a podcast, radio, television, featured article, print article, copyrighted work, or a website blog.

 

Further, a typical “Guaranteed Placement” on a website (e.g., featured article or website blog) will have a minimum domain authority greater than 50 or site traffic greater than 10,000 visits per month, unless an exception is deemed appropriate by GRAPEVINE. This exception is applicable for niche audiences and hyper-targeted placements.

 

A typical “Guaranteed Audio” (e.g., radio or podcast opportunity) will have a minimum reach of 1,000 listeners unless an exception is deemed appropriate by GRAPEVINE. This exception is applicable for niche audiences and hyper-targeted placements.

 

A Guaranteed Placement further can include other Media such as television segment mentions, broadcast interviews of any kind, a speaking opportunity, mention in a listicle or industry trade publication, or an award. 

 

THE GUARANTEE UNDER IS VOID IF: (1) YOU DO NOT REPLY TO THE PUBLICIST IN WRITING WITH THE NECESSARY INFORMATION WITHIN 48 HOURS OF COMMUNICATION BY THE PUBLICIST; OR (2) YOU TURN DOWN OR REJECT ANY OF OUR PUBLICATIONS; OR (3) YOU DO NOT COMPLETE THE ONBOARDING FORM (4) YOU ARE UNKIND, RUDE, INAPPROPRIATE, USE PROFANITY, THREATEN, SEXUALLY HARASS, AS WELL AS HARASSMENT RELATED TO RACE, ETHNICITY, NATIONAL ORIGIN, DISABILITY, RELIGION, AGE, GENDER, SEXUAL ORIENTATION, GENDER IDENTITY, OR OTHER TYPES OF HARASSMENT, ATTEMPT TO INTIMIDATE, MAKE ALLEGATIONS, OR GENERALLY MAKE THE GRAPEVINE TEAM UNCOMFORTABLE OR FEEL UNSAFE; OR (5) CANCEL YOUR SERVICE, RECEIVE A REFUND, REJECT QUOTES OR ARTICLES FROM CONTRIBUTORS, MISS INTERVIEWS, MAKE YOURSELF UNAVAILABLE TO THE TEAM OR REFUSE SERVICES. FURTHER, IF WE FIND YOUR COMMUNICATION IS NOT ACCEPTABLE AS REQUIRED TO ACHIEVE YOUR SUCCESSES, IN OUR SOLE DISCRETION, THE GUARANTEE IS VOID.

 

V. INDEMNIFICATION; LIMITATION OF LIABILITY
 

By execution of your Agreement, CLIENT agrees to indemnify, defend and hold harmless GRAPEVINE against any and all claims, actions, damages, liabilities, costs and expenses, including reasonable attorney’s fees and expenses, arising out of GRAPEVINE’s utilization of any authorized or unauthorized and non-confidential information.
